About Don Hanley

Don is an Associate on our Banking & Finance team. He works with Irish and international financial institutions and has experience in corporate lending, acquisition finance, and secured lending – including acting for pillar and alternative lenders and for corporate borrowers. 

Don also advises on enforcement of security, compromise and debt settlement agreements, refinancings, structured workouts and security reviews / remediation of security defects and acts for the sellers and buyers of loan portfolios.

Relevant Experience 

  • Allied Irish Banks plc: Regularly acts for the bank in relation to new facilities and the restructure of existing facilities, to include security reviews, the drafting and agreement of facility letters and all supporting security and corporate documents in relation to development finance and investment finance facilities.

  • Allied Irish Banks plc / Permanent tsb plc: Acts for the banks relation to security reviews for various connections to include refinancings and remediation of security defects, formulating enforcement strategies and the appointment of receivers.

  • Real estate investor: Advised on all aspects of the financing arrangements, including the drafting and negotiation of facility agreements, security documentation and the completion of conditions precedent in relation to the acquisition of a number of high value public houses in Dublin city centre.

  • Investment firm: Part of the team which acted in the acquisition of a large loan portfolio and managed and advised on all aspects of the registration of the transfer of security. 

  • Asset Management firm: Acted in relation to several borrower connections to include advising on remediation of security defects, formulation of enforcement strategies / appointment of statutory receivers, the provision of construction facilities to borrowers and advising on compromise agreements / workouts / refinancings.

  • Various: Advising various clients in relation to: 
    • drafting and negotiating settlement agreements relating to loan defaults; 
    • advising in relation to receiver and mortgagee sales; 
    • drafting all relevant security documents (debentures, guarantees, subordination agreements, etc.);
    • drafting ancillary documents including board minutes, corporate certificates and company resolutions.
